These Terms of Service (“Terms”) govern your access to and use of the QuickSide websites, applications (including our mobile companion apps), and related services (collectively, the “Service”) provided by Quickside, LLC. (“Quickside,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
For questions about these Terms, contact [email protected]. For general support, contact [email protected].
1. Eligibility and accounts
You must be able to form a binding contract under applicable law to use the Service on your own behalf. If you use the Service on behalf of an organization (such as a league, club, or association), you represent that you have authority to bind that organization, and “you” includes you and that organization.
You are responsible for maintaining the confidentiality of your account credentials (including your email-and-password combination, multi-factor authentication factors, passkeys, or your third-party sign-in account used with the Service) and for activity that occurs under your account, except where caused by our gross negligence or willful misconduct.
2. Organizations, roles, and data
The Service allows organizations and their administrators to configure programs, rosters, schedules, communications, payments, documents, public pages, and related features. Organizations and their administrators control much of the data entered into the Service and how it is shared with coaches, families, and other participants. Quickside is not responsible for the accuracy, completeness, or lawfulness of data submitted by organizations or users, though we may take steps described in our policies or as required by law.
2.1 Medical and sensitive participant data
If you or your organization collect or store medical, health, emergency contact, or other sensitive participant information in the Service, you represent that you have a lawful basis to do so (including any required parental or guardian consent) and that you will limit access to those who need it for program operations. Quickside provides tools for storage and role-based access; Quickside is not a healthcare provider and is not liable for an organization’s misuse or unlawful collection of such data. See our Privacy Policy for how we process this information.
2.2 Documents and electronic signatures
The Service may let organizations upload documents and collect electronic signatures or acknowledgments (for example, waivers or eligibility forms). Those materials are User Content submitted by you or your organization. Quickside does not guarantee that any particular waiver, consent, or signature will be legally enforceable in your jurisdiction. Organizations remain solely responsible for the content of their documents, for obtaining required consents, and for retaining records as required by law or their programs.
2.3 Roster imports and public pages
If you import or sync roster, guardian, or calendar data from a third-party system (for example, DaySmart or TeamSnap), you represent that you have all rights and authority needed to import that data into QuickSide and to use it for your programs. If you publish public registration forms, vanity pages, or other public content, you are responsible for what you choose to collect and display, including compliance with privacy and youth-protection laws.
3. Acceptable use
You agree not to:
- Violate any applicable law or regulation.
- Infringe intellectual property or other rights of third parties.
- Harass, threaten, defame, or discriminate against others; post unlawful hate speech; or exploit minors.
- Circumvent or attempt to circumvent age-based or guardian messaging and privacy controls (including under-13 restrictions), or use team messaging, direct messages, or marketplace inquiries to contact or harass minors unlawfully.
- Upload malware, attempt unauthorized access to systems or data, interfere with the Service, or probe or test vulnerabilities without authorization.
- Scrape, data-mine, or use automated means to access the Service in a way that burdens our infrastructure or circumvents technical limits, except as we expressly permit.
- Misrepresent your identity or affiliation, or use the Service to send unsolicited spam in violation of law.
Organization administrators are responsible for the conduct of staff and coaches who use the Service under their programs. We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.
4. User content and license
You retain ownership of content you submit to the Service (“User Content”). You grant Quickside a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, distribute, and otherwise use User Content solely to operate, improve, secure, and promote the Service and as otherwise described in our Privacy Policy.
You represent that you have all rights necessary to grant this license for your User Content. We may remove or restrict User Content that violates these Terms or applicable law, or that we reasonably believe is harmful.
5. Fees, payments, and taxes
Certain features require payment. Fees, taxes, and renewal terms are presented at checkout or in your organization’s billing settings. Payments may be processed by third-party payment processors (such as Stripe). Your use of payment services may be subject to the processor’s terms and privacy policy.
Where the Service facilitates payments to organizations, facility managers, or sellers (for example, tournament or program registrations, or facility slot marketplace sales) using connected accounts or similar arrangements, funds may be routed to those parties as configured for that program. Quickside may retain platform or application fees as disclosed at the time of payment. You agree to pay all amounts you authorize and understand that refund policies may depend on the organization, seller, or the nature of the purchase. On refund or chargeback of a facility slot purchase, QuickSide may reverse the associated booking transfer as described at checkout.
5.1 Facility slot marketplace
The Service may let users list, sell, trade, or claim sports facility time (for example, ice, court, or field time). QuickSide is a marketplace facilitator, not the seller of the underlying facility booking. Sellers and facility managers represent that they have the right to list and transfer the time they offer. Trades are binding when accepted by both parties in the Service; QuickSide does not guarantee cash equivalence between traded slots. Cross-organization messaging through marketplace inquiries must not be used for harassment, spam, or to circumvent platform fees. Venue manager accounts must be operated by authorized venue representatives.
5.2 Stripe Connect accounts
Organizations or sellers that receive funds through Stripe Connect must provide accurate business and identity information required for onboarding and ongoing compliance, and must accept and comply with the Stripe Connected Account Agreement and applicable Stripe terms. Quickside may pause or disable payouts or related features if Connect requirements are not met.
5.3 In-app purchases (App Store and Google Play)
Certain entitlements (for example, stream-related features) may be sold through the Apple App Store or Google Play. Those purchases are also subject to Apple’s or Google’s terms and billing policies. Billing disputes, refunds, and cancellations for store-billed in-app purchases are handled primarily under the applicable store’s rules. Organization registration and other Stripe-billed purchases remain governed by Section 5 and the refund practices disclosed at checkout.
5.4 Merchandise
The Service may offer merchandise or apparel fulfilled by a third-party print and shipping partner (such as Printful or a successor). You are responsible for providing accurate shipping information. Production, shipping times, and fulfillment defects are subject to the fulfillment partner’s capabilities; Quickside is not the manufacturer of physical goods unless we expressly state otherwise at checkout.
6. Third-party services
The Service may link to or integrate with third-party services (such as mapping, video, live streaming and broadcasting platforms, identity / sign-in providers, roster or calendar import tools, payment processors, app stores, or fulfillment partners). If you choose Sign in with Google, Sign in with Apple, or Facebook Login, or if you connect YouTube or Facebook to broadcast through the Service, your use of that feature is also subject to the provider’s terms and privacy policy in addition to ours. Your use of other third-party services linked from the Service is governed solely by your agreement with those third parties. Quickside does not control and is not responsible for third-party services, including their availability, changes, or enforcement actions.
7. Live streaming and broadcasting
The Service lets organizations and authorized users broadcast events to third-party platforms such as YouTube and Facebook.
- Your responsibility for rights and consent. You are solely responsible for ensuring you have all rights, permissions, and consents necessary to capture and broadcast the people, audio, video, likenesses, and information included in a stream. Where a broadcast may capture or identify minors, the organization or operator initiating it is responsible for obtaining any legally required parental or guardian consent before broadcasting (see our Privacy Policy for related obligations, including under COPPA).
- Delivery to third-party platforms. When you broadcast, the audio/video and associated metadata are transmitted to the destination you select. Once published, the broadcast is subject to that platform's own terms, privacy policy, audience and retention settings, and enforcement actions (for example, the YouTube Terms of Service and Facebook/Meta terms). Quickside does not control those platforms.
- Acceptable use. Broadcast content is User Content and is subject to Section 3 (Acceptable use) and Section 4 (User content and license). You may not broadcast content that is unlawful, infringing, harassing, or that exploits or endangers minors.
Quickside provides the streaming tools and is not responsible for the content you broadcast or for a platform's handling of your stream.
8. Intellectual property
Quickside and its licensors own the Service, including software, branding, documentation, and related intellectual property, excluding your User Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUICKSIDE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the fullest extent permitted.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUICKSIDE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS YOU PAID QUICKSIDE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those jurisdictions, limitations apply to the fullest extent permitted.
11. Indemnity
You will defend, indemnify, and hold harmless Quickside and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Service (where we will provide reasonable advance notice when practicable).
Upon termination, provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless a different governing law applies by mandatory local law. Courts in Delaware (or another forum we designate in writing) will have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any court of competent jurisdiction.
Informal resolution. Before filing a claim, you agree to contact [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
14. Changes to the Terms
We may modify these Terms from time to time. We will post the updated Terms on the Service and update the “Last updated” date. If changes are material, we will provide additional notice as appropriate. Your continued use after the effective date constitutes acceptance of the revised Terms.
15. General
These Terms constitute the entire agreement between you and Quickside regarding the Service and supersede any prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
